These Terms and Conditions (“Terms”) govern all services provided by Foxpress Media LLC. By using this website, approving a proposal, submitting payment, or otherwise engaging our services, you agree to be bound by the Terms herein. These Terms apply unless explicitly superseded by a separately executed written agreement signed by both parties.

1. Overview and Definitions

Foxpress Media LLC (“we,” “our,” or “the Company”) is a Delaware-registered marketing and media firm providing strategic communication, digital campaigns, branding, content development, and consulting services.

“You,” “Client,” or “Customer” refers to the individual or entity engaging the Company, whether for yourself or on behalf of a business. By doing so, you confirm you have authority to enter into a binding agreement.

“Services” refers to all marketing, advertising, content, consulting, digital, and promotional offerings provided by Foxpress Media LLC, including support from our fulfillment partners.

These Terms apply to all engagements initiated by proposal acceptance, invoice payment, email confirmation, or any written instruction to proceed with work. They are enforceable regardless of whether a signature is provided.

In the event of a direct conflict with a signed custom contract, that contract will govern only those specific provisions. The remainder of these Terms will still apply in full.

2. Scope of Services

Foxpress Media LLC offers tailored marketing services for authors, brands, and professionals. Services may include but are not limited to: media planning, content creation, author PR, book campaigns, digital advertising, teaser videos, lead generation, and public relations strategy.

Each project is governed by a written proposal, project brief, or Statement of Work (SOW), which defines deliverables, goals, timeline, and applicable fees. Work will not commence until the Client has formally approved the scope in writing.

All changes to scope—whether new deliverables, revisions outside of the agreed rounds, or platform-specific adaptation—must be made in writing.Additional charges may apply depending on complexity.

We use commercially reasonable methods and best practices, but we make no guarantees regarding specific marketing results (e.g., media placement, engagement, revenue growth) unless explicitly agreed in a separate signed addendum.

We are not responsible for delays or underperformance caused by third-party platform changes (e.g., Facebook Ads policies, Amazon algorithms), client-side inaction, or delays in submitting required inputs.

3. Project Timeline and Client Engagement

Your project timeline begins upon receipt of written approval and, where applicable, deposit payment. All deliverables and deadlines are contingent upon the Client providing required materials and feedback within agreed windows.

The Client agrees to cooperate promptly by delivering files, approvals, and content in a timely manner. Failure to do so may result in delays for which Foxpress Media LLC bears no responsibility.

If a Client becomes unresponsive for more than 15 calendar days, the Company may pause the project. If the Client remains inactive for 30 days or more, the Company may consider the project closed. Work may resume later only at our discretion and subject to an archival reactivation fee.

Clients are expected to appoint a main point of contact to streamline feedback and avoid contradictory instructions. Projects with multiple stakeholders should submit consolidated feedback at each review cycle.

Once final files are delivered, the project is considered complete. Requests for revisions after that point may incur additional service fees unless otherwise specified in writing.

4. Client Responsibilities and Compliance

The Client is responsible for supplying all necessary inputs such as branding guidelines, copy, visuals, platform logins, or campaign direction. These must be submitted on time and in usable formats.

The Client warrants that all materials provided for use in their campaign (logos, text, claims, testimonials, data) are owned by them or properly licensed. The Company is not liable for copyright infringement caused by client-supplied content.

The Client agrees to review deliverables within the specified timeframes. If no feedback is provided within 5 business days, we may proceed based on the most recent approved draft or pause the project until response is received.

It is the Client’s obligation to ensure compliance with all legal, regulatory, or industry-specific advertising rules applicable to their product or service. The Company is not responsible for legal review unless separately contracted for compliance consultation.

The Client agrees not to solicit or hire any personnel, contractors, or vendors introduced through this engagement for a period of 12 months following the end of the project, unless given written consent by the Company.

5. Fees, Payment Terms, and Invoicing

Fees for services will be outlined in a written proposal or invoice. Unless otherwise specified, payment is due in full upfront or per a milestone schedule (e.g., 50/25/25 model).

Accepted payment methods include bank transfer, ACH, Wise, credit card, or other pre-approved gateways. Clients are responsible for any currency exchange or transaction fees if paying from outside the U.S.

If payment is not received by the stated due date, Foxpress Media LLC reserves the right to suspend work until the account is brought current. Late payments beyond 15 calendar days may be subject to late fees or collection action.

Final deliverables will not be released until full payment is received. In retainers or recurring work, missed payments may cause campaign pause or automatic termination of service.

We reserve the right to update pricing or service terms for future projects. Existing engagements will honor the terms set forth at the time of project confirmation.

6. Refund and Cancellation Policy

Once a project has begun, all payments made are non-refundable. This is due to immediate allocation of production time, third-party vendor fees, and scheduling costs.

If the Client cancels a project mid-way, all completed work will be invoiced at the agreed milestone or per an hourly rate. No refund will be issued for unused portions of the service unless explicitly offered in a written exception.

In the event Foxpress Media LLC must cancel a project due to internal limitations, the Client will be refunded for any uninitiated phases, and ownership of completed work to date will be transferred.

Requests for refunds due to subjective dissatisfaction (e.g., personal taste, creative direction) will not be honored if work was delivered in line with approved concepts or instructions.

Chargebacks or unauthorized reversals of payment will result in immediate termination of services, forfeiture of license to use materials, and potential legal action to recover losses.

7. Global Fulfillment Partners

Foxpress Media LLC delivers its services using a hybrid structure that combines in-house talent with a curated network of global fulfillment partners. These partners include creative professionals, media technicians, strategists, designers, and support staff located in key time zones to ensure operations can run continuously—24 hours a day, 7 days a week.

Our international teams are strategically positioned in the Philippines, United Kingdom, Singapore, India, South Africa, Poland, UAE, Kenya, Argentina, and Australia, among others. This wide distribution of personnel enables uninterrupted service fulfillment, real-time communication across markets, and rapid turnarounds on complex deliverables.

The core purpose of our global model is to maximize productivity and responsiveness, particularly for clients requiring accelerated timelines or around-the-clock service windows. By leveraging time zone differences, we are able to execute tasks overnight, accommodate last-minute changes, and maintain workflow even on U.S. holidays or weekends.

All international fulfillment partners operate under binding non-disclosure agreements, non-solicitation clauses, and service-level compliance protocols. They are also required to adhere to Foxpress Media LLC’s quality assurance standards, brand style guides, and internal escalation procedures to ensure consistency and accountability across borders.

While many of our partners function autonomously in their respective regions, all project management, communication, creative direction, and final delivery remains centralized under Foxpress Media LLC. Clients interface only with our core team unless explicitly permitted otherwise in writing, preserving clarity and quality control.

The use of global personnel does not compromise the integrity of your service. In fact, it enhances output by introducing cross-cultural creativity, broader media perspectives, and multilingual adaptability where necessary—especially for authors, startups, or campaigns that target global audiences.

We routinely vet and rotate our partners based on ongoing evaluations, project feedback, and innovation compatibility. This ensures that the individuals contributing to your project are not only competent but aligned with evolving industry demands and best practices in marketing, digital media, and communications.

Clients with specific data residency, jurisdictional, or cultural compliance concerns may request fulfillment to be handled exclusively by U.S.-based professionals. Such requests will be reviewed for feasibility and may be subject to modified timelines or higher costs depending on labor availability.

Our 24/7 global structure also enables faster crisis response, social media moderation, and international PR coordination—especially critical during live campaigns or when clients operate in multiple markets. This positions Foxpress Media LLC as a versatile partner for businesses with broad footprints or high-volume output requirements.

Ultimately, our global model allows us to scale quickly, deliver with flexibility, and offer enterprise-level infrastructure at a fraction of the cost compared to traditional agencies. Through this structure, we maintain delivery excellence while keeping services competitively priced and consistently responsive.

8. Intellectual Property and Usage Rights

All final deliverables become the property of the Client upon full and final payment. This includes campaign designs, written content, video assets, and advertising materials outlined in the scope.

Foxpress Media LLC retains ownership of raw files, editable templates, and preliminary drafts unless otherwise agreed. These may be licensed or transferred at an additional cost upon request.

Any third-party content (e.g., stock media, plugins, music) remains subject to its own license agreements. The Client is responsible for ensuring proper use and compliance when using these assets.

The Company retains the right to display finished, public-facing work in its portfolio, marketing, or credentials deck unless the Client expressly requests confidentiality in writing before project start.

The Client may not reuse or resell deliverables in unrelated projects, white-label them, or license them to third parties unless explicitly granted in writing by the Company.

9. Limitation of Liability

9.1 Foxpress Media LLC provides all services with reasonable skill, care, and professionalism, in accordance with recognized industry standards. However, the results of marketing, media exposure, and public relations are inherently influenced by third-party platforms, editorial decisions, market behavior, and user engagement trends. As such, we make no warranties, express or implied, regarding the outcome or commercial success of any service, campaign, or deliverable provided.

9.2 Forecasts, advertising strategies, and marketing recommendations—whether provided by the Company directly or through its consultants or freelancers—are illustrative and non-binding. These projections are speculative in nature and should not be construed as performance guarantees. The Client acknowledges that Foxpress Media LLC shall not be liable for any business decisions made or purchases initiated in reliance upon such forecasts or predictions.

9.3 Foxpress Media LLC engages independent consultants, advisors, and freelancers who may bring proprietary tools, systems, insights, or forecast models to a project. These individuals are not employees or legal agents of the Company, and their views do not constitute guarantees by the Company. The Client acknowledges that any reliance on the outputs, forecasts, or advice provided by these third parties is at the Client’s sole discretion and risk.

9.4 Under no circumstances shall Foxpress Media LLC be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, goodwill, business opportunities, data, platform access, or reputational harm, even if advised of the possibility of such damages. This limitation applies to all claims, whether arising from breach of contract, tort, negligence, misrepresentation, or otherwise.

9.5 The total liability of Foxpress Media LLC for any claim related to the delivery of services shall not exceed the actual amount paid by the Client for the specific service giving rise to the claim within the six (6) months preceding the incident. This limitation of liability applies collectively to the Company and its directors, officers, employees, contractors, and fulfillment vendors.

9.6 The Client agrees to indemnify and hold harmless Foxpress Media LLC and its affiliated personnel and partners from any claim, loss, or liability arising from: (i) content provided or authorized by the Client; (ii) misuse of campaign materials or data; (iii) regulatory or intellectual property violations arising from Client-side activity; or (iv) any loss related to third-party tools or advice used independently by the Client.

9.7 Foxpress Media LLC may subcontract work to freelance professionals or consultants, including those with their own systems, marketing tools, and strategic models. Unless those tools are specifically integrated into a Foxpress deliverable under an approved Statement of Work, the Company disclaims liability for outcomes resulting from their use. The Client further agrees not to engage or solicit these individuals independently during the project and for a period of twelve (12) months thereafter without written consent from the Company.

9.8 The Client agrees that any legal dispute or claim shall be brought in an individual capacity only. The Client waives the right to participate in class actions, collective actions, or representative proceedings against Foxpress Media LLC or its affiliates.

9.9 Nothing in this section shall be construed to limit liability in cases of fraud, willful misconduct, gross negligence, personal injury, or any matter where limitation is prohibited by applicable law in the State of Delaware.

10. Governing Law and Dispute Resolution

These Terms are governed by and shall be construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.

Any dispute arising out of or relating to these Terms shall be resolved through good-faith negotiation. If not resolved within 30 days, either party may submit the matter to binding arbitration in Delaware or file a claim in a court of competent jurisdiction located in the State of Delaware.

If any clause of these Terms is found unenforceable, all remaining clauses remain valid and enforceable to the fullest extent permitted by law.

These Terms, along with any executed Statement of Work or proposal, constitute the full and entire agreement between Foxpress Media LLC and the Client.

All updates or amendments to these Terms must be made in writing and accepted by both parties to be valid.
